Hello

i would like to know if there's a difference in the way Google or Yahoo will treat this..

1. news.example.com/latest.html

2. example.com/news/latest.html

i hope this makes sense, basicly i want to know if one of the above will get a better result ?

Keywords in the filepath are one small part of the algo. If you hope to rank for "latest news" the second url could give a mini-boost - but there would need to be a lot more in place both on-page and off-page to become competitive.

If you are asking whether the number of "directories" in the filepath is a factor, then the answer is no. The length of the clickpath from other pages does matter, because that's how PR and backlink influence circulates. But the number of forward slashes in a url is not a factor.
