Setting up Sub-Sites for minimum Google troubles

I have to set up a separate, slightly modified version of my main web site for a new corporate client and am trying to figure out how best to handle this so that it will both benefit me (if that is even possible, toolbar tracking users to my main domain comes to mind) and most importantly won't hurt me in google because of all the duplicate content. I plan to use robots.txt to keep the spiders away from the sub site and likely would have minimal links to the sub site which I can put a nofollow tag on (although the sub site may have many links back to my main site). So would the best way to handle this be a subdomain like corp1.widgets.com or a subdirectory like www.widgets.com/corp1/

If you do that, then either approach is fine. Choose the one that makes your life easier and don't even worry about nofollow.
