one client, 2 sites for different business focus ok?

I wanted to ask some of the knowledgable members here the following. I currently run a client and I optimize the site for holiday based themes. I would now like to optimize for their business but with a local theme. for example "City X Widgets" and "Christmas Widgets"

I'm thinking of creating a seperate domain and building a new site based on the design of the current one, but changing the focus for the local based market. the site would not be a direct copy of the original, but be based on the same outline and database.

Is this considered spamming or am I better off just doing timely optimization?

sometimes this fails if I miss a certain update ;)

As long as both sites have unique, unrelated content, go ahead and do it!

What is against the rules is duplicate content. But from what your saying, this isn't the case.
