We may use DIV to replace either H or P tag; From the SEO perspective, which is better?

I would keep the H tags and you can use Div or P tags for your main content - I doubt either has any added bonus for SEO purposes. Proper w3c page structure may be another matter.

H tags have a definite bonus for SEO on Google particularly. Structure your document simply and effectively, H1 tag, H2 tag, and put your body text in P tags.
