I just took down one site (had PR6) and replaced it with another entirely new site. None of the same content. The only thing the same is the domain name. Will this drastic change earn me a penalty PR wise? Will it affect the PR?

PR is by the page, not by the site. If the links that point to yourdomain.com/index.htm all stay the same, it'll most likely retain PR, except for what was given to the index page by the interior pages of the site.
The interior pages also had page rank; if those are gone, they no longer exist, and PR will have to be calculated anew for the new pages that went up after Google finds them.
