1. I have a one site that is geared to a US market as well as one in development geared toward the European market.
There are slight differences between the two sites but most of the code is the same because it is the same service but with a different market targeted.
Will this be penalized?

Actually it's not hard to stay below the duplicate threshold. If the content, not code/design, is like 70% or less identical you should be okay.
