This is my concern, i have a flash player (youtube like) and i need to display a DIV with some text, images or buttons over the flash player. Is it possible with z-order, does anybody did this before?

Flash content is always over the html. You can try with z-index but remember: if you're using z-index you need to set wmode to transparent or opaque. If this doesn't give you the success you can try to put text, images to flv player.
