do all the work rather than sharing them to small publishers. They wont allow small publishers or webmasters to use their contents. When Microsoft will launch their PPC and will allow small publishers for their affiliates, Overture will soon be history.

Overture's business strategy is different to other PPC programs such as Google Adsense. Rather than partnering with thousands of smaller publishers, they partner with a smaller hand picked selection of "big fish" publishers.
Its a different way of doing business.
I dont think they [Overture] are particularly worried if it doesnt meet with your approval.

Larger sites offer a number of benefits to those who buy advertising. They are easier to monitor than thousands of smaller sites, and they tend to have more reliable and predictable visitor numbers. They also tend to have a better idea of who their visitors are and what they are looking for. These things are all harder for smaller and less busy sites to achieve, so it's no wonder Overture and others favour big sites.
