When people don't pay for the new deal, does that mean that they won't even display for the Company Name? Could this put LookSmart or MSN in a bad postion legally?

It appears that if there are other sites with your company name showing up in LookSmart and our company doesn't pay then yes, you may not come out at the top for your company name.
