duplicate content question

If link pages are the same is there an issue with SE's

If you have 2 sites with exactally the same link pages does this rise a red flag in the SE's?
For example, lets say you build 2 sites and are emailing the same people for links so both sites have the same links and same categories.
As a note, both sites have different content but are on same topic.

If the pages have duplicate content, then it is duplictae content.

If your 2 sites are contacting the exact same sites for link exchanges, then it sounds like both sites have very similar (if not duplictae) content, so just the links pages may be the least of your worries.
