There are lot of sites which provide you youtube video url so that you can download video directly on your desktop.
And majority of them use adsense ads to montize their service.

Isn't violation of adsense tos?
Because they are giving access to download url of youtube videos without their permission.

If you are referring to the URL or EMBED links, those do not download anything to your website. Both link back to the YouTube site.

The issue with such organizations like Viacom and Universal is, they are upset because someone else has placed their movies/videos on the YouTube website.

Does YouTube "prohibit" saving videos offline, or just make it inconvenient to do so?

Personally I don't see any reason whatsoever why I shouldn't be able to save a given Flash file onto my hard drive, and in fact recently used one of those sites to do exactly that.

But this kind of sites qualify for placing adsense ads? Because they don't have 'original content' to display on their site. They scrap youtube and show video url to user to download.

I don't believe there's anything that violates the TOS, and an interactive application is a KIND of content.

But I agree it sounds like an extremely poor fit for AdSense, because there is likely to be little if any relevant text on the page. Also because the traffic is likely to be untargetable anyways. Best to ask Google in these situations.

i thought downloading youtube videos was against the youtube
tos as well. But yesterday i was browsing thru the official google homepage gadget directory, and right on the front page for new gadgets, was a youtube downloader that "downloads youtube videos to your desktop". about a year ago i had an idea to make an app that converted youtube vids to a different format, while researching i repeatedly found it wasnt allowed, and sites having similiar tools had been forced to shut down. But i guess that has all changed now. maybe with the api they can control what is downloadable to only videos where it is ok, therefore apps using the api are legit. probaly time to dust off ffmpeg and check out the api docs
