Creating similar site - will Google ban it?

Will G ban this site if it appears too similar?

Hi, Really need feedback on this situation. We have an existing ecom automotive website. We are forced to have prices higher on this domain due to a policy from the manufacturer of the product. They provide us with a link from their site with very good *qualified* traffic.

We are able to have a different site & domain and sell the same products at a lower price. We are competing on this product line with many others that do not have the link, but price teh products quite a bit lower.

To keep on Google's good side, what should I be looking to do with the second site? It would have a completely different look and feel and I can use a different IP address range (another Class C strip). Not trying to SPAM their directory, just want to have the best possible prices for our customers that do not arrive at our site from the link.

Run an adwords campaign and ban all robots! Find a good robots.txt and place it in your root directory. Otherwise your going to run into a duplicate penalty with Google at some time. Just hope that Google hasn't already indexed your site or your asking this question a little too late. Or on the flip side you would need to make the new site entirely different(words, links, etc).

Thanks for the reply! No, we have not formatted the new site yet. Just in the planning stage so we don't mess up with Google.
