Not sure how to password protect an autorun, but you could create a zip file of the contents and password protect that using a tool such as Winzip or Winrar...

But still some one can view or copy the zip file and quiet easily break those passwords. What I am looking for is a tool by which I can password protect the CD in such a way that one cannot do anything with the cd, unless the right password in entered.
