I need a definition of a term

Hello,
If someone here could help me on this it would be great. I currently am investing in a stock and I have no idea what market cap is or why it's important.
A partial company info clip:

Shares Outstanding: 1,264,988,916 as of 2002-05-30

Estimated Market Cap: 3.794M as of 2004-04-02

Current Capital Change: None

Dividends: None

I have searched and searched for a definition and can't find one.

MarketCap = Number of Shares Outstanding x Price of each share
