Only non-contextual ads may be shown on the same page as AdSense.

Contextual ads, like Adsense, respond to their context. If you have a page about widgets in Alabama, Adsense will automatically display Ads about widgets, Alabama, and Alabama widgets if you are lucky. Google doesn't want you to put other contextual ads (like YPN) on the same pages as where you put your Adsense ads.

Valueclick (merged with Fastclick now) ads are allowed. They used to have a contextual ad they were trying at one time, but I can't find it on their site now. Therefore as they don't offer a contextual ad, you are in compliance with Google TOS.

Oh, and please try and resist labeling posts as "Urgent" in this forum - it only serves to get on peoples nerves, and your question less likely to get a helpful answer :)
