Contract Agreement with local ISP

In attempts to find new clients I contacted a local Internet Service Provider. The co-founder of the ISP returned my message and is actually interested in setting up a referral program (I refer clients to them, and vice versa). I need to come up with a business proposal in the next few days to return to them.

Does anyone know where I can find a generic or sample contract/form between a web designer and an ISP? This may sound like a silly question, but I am new to the business realm and want to make sure I cover all legal areas before jumping into a business partnership.

Also if anyone has any previous experiences or advice on working with ISPs, I am open ears.

Is there really a need for a contract for this? Does any money change hands? What areas do you imagine a contract would cover? You will both make your best efforts, etc.?

If you will be passing any proprietary information back and forth, a seperate non-disclosure agreement is a good idea, in any case.

Aside from the need or non-need for a contract, have you given any thought to whether this is really in the best interest of your clients? There are advantages and disadvantages to working with a local ISP, but I doubt that you can honestly say that it would be in the best interest of all or even most of your clients. I certainly wouldn't do anything exclusive, as you need to be able to recommend what is best for each individual situation. Do you see how having such an agreement could affect your objectivity?
