Hi All

I'm looking to employ some freelancers to work on an upcoming project but I don't want the client to know the work has been farmed out. Because of this, I want anyone I employ to sign an NDA that ensures they won't use the work they produce for their own purposes and self promotion (online portfolios etc).

I've found ads for NDA's but nothing specific to employing freelance web designers / programmers.

Does anyone have a non-disclosure agreement I can re-hash (no idea if that's a reasonable request - hope it is) or can anyone recommend some online examples or a UK supplier of NDA's?

Here is an extract from one I signed recently:

3.CONFIDENTIALITY, TRADE SECRETS, PROPRIETARY RIGHTS:

(a) Consultant acknowledges that during the term of this Agreement he/she/it will have access to and become acquainted with various Company confidential information and trade secrets, including but not limited to patent, copyright, trade secret and proprietary information, techniques, designs, Inventions, know-how, processes, apparatus, equipment, algorithms, software programs, software source documents, and formulae related to the current, future, and proposed products of the Company, as well as data relating to the business of Company or Company's Clients, (hereinafter "Trade Secrets").

(b) Consultant acknowledges that Trade Secrets are secret, confidential and proprietary to the Company and will have been disclosed to him/her/it or obtained by him/her/it in confidence and trust for the sole purpose of using the same for the sole benefit of the Company and Company's customers. During and after the course of this Agreement (other than as authorized in the course of performing Services under this Agreement), Consultant agrees to keep the Trade Secrets confidential and agree not to disclose them to others, or take or use for his/hers/its own purposes or purposes of others.

(c) Company Confidential Information and Trade Secrets shall be safeguarded by Consultant at least to the same extent that Consultant safeguards material and data relating to Consultant's own business.
