we sell lab equipment, we have hundreds of categories and then sub-categories for each one, then all of the products...
(i.e. Lab equipment --> Freezers --> General Purpose Freezers --> 3 cubic ft, etc..)
should I go through and create ad groups for each sub-category?
are there any tools or companies that I can outsource that can help make this process easier for me? We carry over 200,000 products.. and I'm only about average when it comes to ppc/adwords

You're not alone! :) I'm in the same boat with over half a million products. Developing the structure is NOT an easy task at all... but, what we focused on were sets of keywords with a.) dramatically different values, and b.) those with different ad copy needs.
We were able to develop a structure that met both criteria and has proven to be relatively easy to manage and expand. But, we succeded only after learning that getting too granular - for the wrong reasons - can make management and expansion very, very difficult.
You can retain assistance doing this... but, if a resource offers their help based solely on their SEM experience - and fails to proactively take steps to really learn about the differences in your product line - I'd be cautious in accepting their help.
