Traffic exchange using alternative ads?

I run a small gaming site with original Java applets and I have a 4 row Adsense block at each of my games. However often just 1 or 2 rows are filled so I am looking into alternative ads.

I would like swap ads with other Adsense advertisers within the same subject (gaming, toys, Java ...).

First: Is that ok with regards to the Adsense TOS?

I am thinking of simple deal where I send 100 visitors to you, who have clicked your ad on my site and you send 100 visitors to me, who have clicked my ad on your site.

Second: Anyone interested?

I run my own alternative ads (with a banner exchange script and a few lines of javascript) and I don't know what to do with these spaces.

I am thinking of some arrangement involving a counter script, so people with very different traffic numbers can benifit from the system.
