Big Joint Venture Partner Wants To Create a Mirror Site

Our site niche is focused on Africa travel. A few weeks back a very big travel (problably one of the top 15 ) company in the US which sells travel in north america and europe approched us and wanted us to set up a joint venture to promote our product line in Africa.

They are willing to invest more than $50,000 per month to do the promotion. Now the problem is this;- they want to set up a new domain name, and want a mirror copy of our site to upload onto their new site.

They will remove all references of our company in their new site and will mark up our offers which they will advertise and our company will handle the groundwork.

My problem is that they will set up an exact duplicate site which google might see as content duplication and our site might get banned in its index. 90% of our business comes from the site and google.com is our greatest refferer and we cannot risk this.
