Have a buyer for a Website, now what?

I have someone who is interested in buying my website. So far I have only advertised (not provided proof) of

a) the income I have had over the last six months
b) the price of the website
c) the industry (but not the domain or the specific product)

I didn't provide a lot of information as I do not want to attract competitors to my space / provide a free school for people looking to learn about ecommerce.

My questions:

If you have tried to sell your website, how often have you had to deal with people just fishing around for free lessons in ecommerce?

If you have gotten them, how have you dealt / discouraged them?

How do you enter into the negotiation phase / selling phase without giving up too much information and intellectual property?

Some ideas:

a) Using a business escrow service, such as escrow.com
b) Having a non refundable deposit
c) Having a non declosure agreement
d) Using a 3rd party appraisal service?
e) Other ideas..?

With regards to d, any recommendations?

Other thoughts, comments appreciated.

i personally have delt with this issue in the adult sector which i am currently getting out of and selling off a ton of sites, i have all my sites registered via godaddy, and i get payment up front via paypal, i personally have a very good rating with paypal so it may make it easier to do so, but this is the web, and reguardless, the person buying the sites may have a issue, paying for it prior but i am not going to get beat on selling anything.
as to them fishing they maybe, i dont know what exactly can be done about that other then let them.
