Advice on how to structure proposed agreement

Background: Okay, there is a company out there which provides materials, support, etc for a certain field. They also provide websites, which are obviously NOT created by someone who knows what they are doing. I have had to try to make improvements to one of these websites, so I have an intimate knowledge in what they lack. Basically they provide hosting and some content for people in the field, for a reasonable fee. However, I think the websites themselves do not produce the results that they should.

I would like to propose to this company that they offer the option of custom website creation (that would work with whatever content generation system they are using) to their members. My company would provide the design services and give them a percentage of our fees. Also, their company would continue providing the hosting and content. What I am wondering is how much should I suggest they would get as a commission? Also, do you have any advice on how to go about suggesting this? At least I do have a contact, but I have never made a similar proposal and am not exactly sure the most professional way to do so.

You will probably have to price this at a point which they will make more than they currently make on their current templates.

They're only likely to pitch the custom optimized site if they profit more from it.

2nd.. You'll need to prove what you can do. Can you use the project you just finished as an example?

I'd take the plan, the proof, and references into a meeting with them.
