Any pointers on how I might configure apache 2 to permit access to a certain directory and its contents when client is coming from a specific URL? Its parent directory has access contolled by username/password. For all other referers the client should be presented with the usual dialog box.

You might get a better response in our Apache Forum [webmasterworld.com]. In your case I think it's safe to say that if the parent folder is password protected then any child folders will be as well.
