| starting a partnership, creating a LLC in delaware - thoughts?

Me and a friend would like to start a joint venture doing PPC Marketing to affiliate programs. He'd take care primarily of the PPC side and I would handle the technical side. We've discussed a LLC setup, in delaware, we're in california. Does anyone have any thoughts, pros and cons to this?

Talk to a Delaware lawyer and a business/corporate accountant as the issues are multitudinous.
