One don't always need to change/create a name while acquiring a company or setting up a new division. Especially in case like Yahoo, I believe maybe one of the biggest mistake a company can make is to change Yahoo's identity or name in any way. A change of name can in turn change many loyalties too, and that is the last thing MSN would want.
