Its worth a few 100k because, unlike starting a new directory, you already have thousands of volunteers, an established name, and a steady stream of traffic/backlinks. Its very possible to do the same starting fresh, but there's definately value in the existing domain and assets that can be really brought out with some hard work. If you try to create a directory from scratch, you'll be in the same realm as hundreds of others and the odds of succeeding aren't as high.
