adding co.uk version of a website for adwords

I have a question for the experts that may be of some use to others as well.
Would I penalized for building a co.uk version of a website to serve ads only in the UK if it is a clone of my current .com site? This may be an seo question too really.
The reason I would want to do this should be obvious enough, but mainly pricing information and having the co.uk domain will probably do much better than the .com for UK targeted ads.
Would I penalized as duplicate content by doing this both by adwords or organic?
Is there a proper way to do this?
Is there another thread that details this on webmaster world that I just could not located?
